Terms of Service

These terms govern your use of Unbacked (unbacked.xyz), operated by Unbacked (“we”, “us”). By creating an account or using the site, the API or the MCP server you agree to them. If you use Unbacked for a company, you accept them on its behalf.

1. What Unbacked is

Unbacked is a marketplace where projects (founders, startups and businesses, “projects”) pay creators for content and results. A project locks a budget in a smart contract; creators join offers, publish content and get paid from that budget under the offer's rules.

We are not a party to the arrangement between a project and a creator, an employer of creators, a broker or an adviser. We run the software, count results, check content against the rules and publish payout calculations to the contract.

The launchpad is shown as a demo. No tokens are offered or sold on Unbacked, and an application to launch is not a promise that a launch will happen.

When launches open, the founder of each token sets its terms (the tax on trades, evergreen or a round, the starting market cap, the share kept for creators) and decides what to promise backers, either on their own word (“trust me bro”) or as equity through a DAO LLC. Founders are responsible for their promises and for the laws that apply to them. We provide the software and describe each model as what it is.

2. Accounts

You must be of the age of majority where you live. You are responsible for your sign-in methods and for everything done with your account. One account can act as a creator and as a project.

Sign-in and embedded wallets are provided by Privy. If you sign in with your own wallet, that wallet is your account and you alone control its keys.

You are responsible for following the laws that apply to you where you live, including rules on advertising, taxes and financial promotions. We do not block users by country; we block accounts and content that involve crime.

3. Money, escrow and payouts

Budgets are held by non-custodial smart contracts on Robinhood Chain, in USDG or in a project's own token. We cannot move a project's budget except through payouts under the contract's rules.

Every six hours we publish a payout root (a Merkle root of cumulative earnings) to the contract. A root becomes claimable 72 hours after it is posted. During that time a guardian key may cancel (veto) a root that looks wrong or fraudulent, and the owner or guardian may pause the contract; a pause ends by itself after 14 days. Our relayer claims payouts for you and pays the gas.

Robinhood Chain is operated by its own sequencer and security council, which may filter or block addresses. Stablecoin issuers such as Paxos can freeze addresses. Token prices move, pools can be shallow and bridges can fail. We are not responsible for these networks, tokens or services.

A project that ends an offer can withdraw the unspent budget after a seven-day cooldown; amounts already committed to payouts stay with the creators.

4. Fees

Each payout carries a platform fee of 5% from the project's side and 5% from the creator's side, taken at the moment of payout; the project sees “paid 100”, the creator receives 90. Part of our fee may go to referrers under the referral program.

Paid AI operations cost what they cost us times three: extended checks and affiliate-agent sessions are charged to the offer's budget (a project's first agent session is free, each session is capped at $15), and the page designer is charged to the creator's unpaid USDG earnings (capped at $3 per session). Prices are shown before you start.

When the launchpad opens, every trade of a token launched through Unbacked carries a platform fee of 1.5% on top of the founder's tax. The fee is set in the launch contract and stays the same for the life of the token.

Bridging and swaps through third parties (LI.FI and the bridges it routes through) carry their own fees.

5. Content and conduct

You keep the rights to your content. You allow us to host and show it on Unbacked (offer pages, top content, your public page) for as long as it is part of the service.

We block content, offers, pitches and applications that involve crime: drug trafficking, sexual content involving minors, weapons trafficking, human trafficking, terrorism, fraud and phishing, and similar. Projects decide whether posts must carry an ad label; creators are responsible for disclosing paid content where the law or a platform requires it.

Fake views, bots, self-dealing between linked accounts, fake conversions and other manipulation are fraud. We may freeze and review affected posts, conversions, prizes and rewards, remove them from payouts and close accounts.

6. Verification and tracking

Before the first payout a creator proves ownership of their social accounts. We read public counters, official APIs and proofs the creator makes; we do not store sessions of your social accounts.

Projects report conversions through referral links, promo codes, server-to-server calls, the API, MCP, Stripe or event hooks, and must report them honestly. Conversions wait out the offer's review window, during which the project may reject refunds, chargebacks and fraud.

7. AI features

AI checks posts against briefs, moderates texts for crime, drafts offers, helps projects configure affiliate rules and helps creators design pages. AI output can be wrong. Projects review and deploy affiliate rules themselves; creators publish their pages themselves.

8. No advice, risks

Nothing on Unbacked is investment, financial, legal or tax advice. Crypto assets, smart contracts, bridges and networks carry risks, including the loss of funds. Our contracts are tested and reviewed, but no test or review removes all risk.

9. Suspension and termination

You can stop using Unbacked at any time. We may suspend or close accounts that break these terms or the law, and we may freeze payouts connected to fraud while we review them. Money that is due to you under the rules stays yours.

10. Disclaimers and liability

Unbacked is provided “as is”. To the extent the law allows, we disclaim implied warranties and are not liable for indirect or consequential losses, lost profits, or losses caused by networks, tokens, wallets or third-party services. Our total liability to you is limited to the fees you paid us in the twelve months before the claim.

11. Disputes

Disputes between a project and a creator about a post or a conversion are settled on Unbacked under the offer's rules: first by an AI judge, then, if either side asks, by our moderator, whose decision is final.
